Douglas Kordel - Professional Summary: 

 

The General Counsel and Compliance Officer for the international franchise Proforma, Douglas Kordel oversees all areas of the company’s franchise, corporate, and transactional law. Responsible for managing Proforma’s compliance with the Federal Trade Commission and the laws and regulations of the various states and providences, Douglas Kordel is a member of the company’s operating committee and Director of Human Resources. Proforma is a successful, $350 million franchise and Douglas Kordel produces the company’s disclosure documents, franchise agreement forms, guaranty agreement, software licensing, and all commercial agreements. Mr. Kordel negotiates and drafts term and revolving credit documents, working capital loan forms, and deeds of trust, under the guidelines of the Uniform Commercial Code. Additionally, Douglas Kordel manages all litigation for the company and provides legal counsel to the senior managers and executive staff of the company. Douglas Kordel received his J.D. from the University of Dayton School of Law, graduating in the top 12 percentile of his class. During law school, Mr. Kordel was twice a Semi-Finalist in the Moot Court and received the CALI Award for his achievements in alternative dispute resolution. Previously, Mr. Kordel majored in Information Systems and Operations Management at The University of Toledo, obtaining his B.B.A. in 1993. A member of the American Bar Association, Douglas Kordel participates in the group’s Forum on Franchising. Over the years, Mr. Kordel has belonged to the Association of Corporate Counsel, the International Franchise Association, and the National Society of Compliance Professionals, where he served on the faculty from 2000 to 2002. Douglas Kordel is a member of the Summa Wellness Institute, part of the Summa Health System, a medically-based fitness facility that focuses on achieving wellness goals, such as weight loss and disease prevention. In his spare time, Mr. Kordel enjoys golfing, fly-fishing, jogging, and hiking.
